Terms of Service

Welcome to LinkyBot.ai. By accessing or using our website, platform, services, or products (collectively, the “Service”), you agree to comply with and be bound by the following Terms of Service (“Terms”). Please review these Terms carefully before using the platform. If you do not agree to these Terms, do not access or use the Service.

1. Acceptance of Terms

By using LinkyBot.ai (“we,” “our,” or “us”), you accept and agree to be bound by these Terms, including our Privacy Policy. These Terms apply to all users, visitors, subscribers, and others who access or use the Service.

2. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our discretion. If changes are material, we will provide notice via email or through a prominent notice on our website at least thirty (30) days before the changes take effect. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.

3. Eligibility

The Service is available only to individuals who are at least 18 years old and who have the legal capacity to enter into a binding agreement. By accessing the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration.

• Maintain and promptly update your account details as necessary.

• Be solely responsible for the security and confidentiality of your account credentials.

• Notify us immediately at [email protected] of any unauthorized use of your account.

You are responsible for all activity that occurs under your account, whether or not authorized by you.

5. Use of Services

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of others or restrict their use and enjoyment of the Service. Prohibited behavior includes, but is not limited to:

• Engaging in any fraudulent, deceptive, or harmful activities.

• Uploading or sharing inappropriate, harmful, defamatory, or illegal content.

• Distributing malware, viruses, or any harmful software.

• Attempting to gain unauthorized access to any portion of the Service or its related systems.

• Using the Service in any way that violates any applicable local, state, national, or international law or regulation.

• Using the Service to send unsolicited messages or communications in violation of applicable anti-spam laws (including the CAN-SPAM Act).

• Scraping, crawling, or using automated means to access the Service beyond the functionality we expressly provide.

6. Subscription, Billing, and Auto-Renewal

6.1 Subscription Plans

LinkyBot.ai offers subscription-based access to the Service. Pricing, features, and plan details are available on our website and are subject to change. We will provide at least thirty (30) days’ notice before any price increase takes effect for existing subscribers.

6.2 Minimum Commitment

All subscription plans require a minimum commitment of three (3) months (the “Initial Term”). During the Initial Term, the subscription may not be cancelled and all fees for the Initial Term are due and payable regardless of usage.

6.3 Auto-Renewal

After the Initial Term, your subscription will automatically renew on a month-to-month basis at the then-current rate unless cancelled in accordance with Section 7 (Cancellation Policy). Each renewal period constitutes a “Renewal Term.”

6.4 Payment

All fees are charged in advance on a monthly basis to the payment method on file. You are responsible for keeping your payment information current. Failed payments may result in suspension or termination of your account after a five (5) business day cure period.

7. Cancellation Policy

7.1 Cancellation After Initial Term

After the three (3) month Initial Term, you may cancel your subscription by submitting a written cancellation request via email to [email protected] at least twenty-four (24) hours prior to the start of your next billing cycle. Cancellation requests received after this deadline will take effect at the end of the following billing cycle.

7.2 Cancellation Requirements

Cancellation requests must:

• Be submitted in writing via email to [email protected].

• Include the account holder’s full name and the email address associated with the account.

• Be sent from the email address on file for the account, or include sufficient identifying information to verify account ownership.

Verbal cancellations, including those made via phone or live chat, are not considered valid cancellation requests.

7.3 Effect of Cancellation

Upon cancellation, you will retain access to the Service through the end of your current paid billing period. No prorated refunds will be issued for partial billing periods. All data associated with your account may be deleted thirty (30) days after your subscription ends.

8. Refund Policy

8.1 General Policy

All fees paid for the Service are non-refundable. By subscribing, you acknowledge and agree that no refunds will be issued for any reason, including but not limited to: dissatisfaction with the Service, failure to use the Service, changes to your business needs, or cancellation of your subscription.

8.2 Exceptions

Refunds may be considered at LinkyBot.ai’s sole discretion only under the following extenuating circumstances:

• LinkyBot.ai has materially failed to deliver the core services described in your subscription plan, and such failure is not attributable to third-party platform changes, your account configuration, or circumstances outside our reasonable control.

• A documented technical issue on our platform has rendered the Service completely inaccessible for a continuous period exceeding seventy-two (72) hours, and we have been unable to resolve the issue within that timeframe.

8.3 Refund Request Process

To request a refund under the exceptions above, you must submit a written request to [email protected] within seven (7) business days of the event giving rise to the refund claim. The request must include a detailed description of the issue and any supporting documentation. LinkyBot.ai will review the request and respond within ten (10) business days. All refund decisions are final.

9. Intellectual Property

All content, software, workflows, templates, documentation, and materials provided through the Service are the intellectual property of LinkyBot.ai and are protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content solely for your internal business purposes during your active subscription.

You may not:

• Modify, reproduce, distribute, or create derivative works based on our content or software.

• Reverse engineer, decompile, or disassemble any portion of the Service.

• Share your login credentials or provide access to any paid features to third parties.

• Resell, sublicense, or commercially exploit the Service or any portion thereof without our prior written consent.

10. Third-Party Platforms and Services

10.1 LinkedIn and Other Platforms

LinkyBot.ai integrates with third-party platforms, including but not limited to LinkedIn. You acknowledge and agree that:

• Your use of LinkedIn and other third-party platforms is governed by their respective terms of service, which you are solely responsible for reviewing and complying with.

• LinkyBot.ai does not guarantee uninterrupted access to or compatibility with any third-party platform. Changes to third-party APIs, terms of service, or policies may affect the functionality of the Service.

• LinkyBot.ai is not liable for any account restrictions, suspensions, or bans imposed by third-party platforms as a result of your use of the Service.

• You assume all risk associated with your use of automation tools on third-party platforms.

10.2 Third-Party Links

Our website may contain links to third-party websites or services not owned or controlled by LinkyBot.ai. We assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described therein.

You are solely responsible for ensuring that your use of the Service complies with all applicable data protection and privacy laws, including but not limited to the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR) where applicable.

LinkyBot.ai does not store LinkedIn credentials. We use authorized integration methods. However, you are responsible for the data you input into the Service and any messages sent through the platform on your behalf.

12. Service Availability and Uptime

LinkyBot.ai strives to maintain high availability of the Service but does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control. We will make commercially reasonable efforts to provide advance notice of planned downtime.

13. Termination by LinkyBot.ai

We reserve the right to terminate or suspend your access to the Service immediately and without prior notice for any conduct that we, in our sole discretion, believe:

• Violates these Terms of Service.

• Is harmful to our business, other users, or third parties.

• Involves fraudulent, abusive, or illegal activity.

In the event of termination for cause, no refund of any fees will be issued.

14. Limitation of Liability

To the fullest extent permitted by applicable law, LinkyBot.ai, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use or inability to use the Service, even if we have been advised of the possibility of such damages.

In no event shall LinkyBot.ai’s total aggregate liability exceed the amount you have paid to LinkyBot.ai in the three (3) months immediately preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless LinkyBot.ai, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use of the Service.

• Your violation of these Terms.

• Your violation of any third-party rights, including intellectual property or privacy rights.

• Any content or data you submit, post, or transmit through the Service.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.

16.2 Binding Arbitration

If the dispute is not resolved informally, you and LinkyBot.ai agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in Santa Barbara County, California, in accordance with the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

16.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis only, and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and LinkyBot.ai regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.

20. Force Majeure

LinkyBot.ai shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, internet or power outages, or failures of third-party platforms or service providers.
